This Hold Harmless, indemnification, and insurance Agreement is entered into by and between ________________ hereinafter “Food Vendor” and The Coeur d'Alene Outdoor Market, hereinafter,

“COM” on this __________ day of __________, 2010.

For Valuable Consideration, the receipt of which, is hereby acknowledged, the Food Vendor, and the

COM, agree as follows:

Food Vendor will indemnify and hold harmless the COM from, any, claims, actions, and judgments arising from and related to Food Vendor’s actions at the Coeur d'Alene Outdoor Market. Food Vendor’s actions include the acts of Food Vendor’s agents and employee furthermore, Food Vendor agrees to waive all rights of subrogation against the COM.

Upon execution of the Agreement, and prior to the Food Vendor’s commencing any vending or selling at the 2010 Coeur d'Alene Outdoor Market, the Food Vendor shall, carry commercial liability insurance. The Food Vendor shall provide the COM with a Certificate of Insurance with an Additional insured Endorsement naming the COM as Additional Insured hereunder. Additional insured coverage shall apply as primary insurance with respects to the COM as Additional Insured, shall not be less than on ($1) million dollars Each Occurrence, two ($2) million dollars General Aggregate.

This agreement shall encompass claims resulting from the Food Vendor’s actions at the 2010 Coeur d'Alene Outdoor Market.

This agreement shall be interpreted under the Laws of the State of Idaho.
